2. The meeting was called to order at 5:22 pm with a quorum present.

3. Minutes

On a MOTION by Mr. Rondeau and seconded by Mr. Richards and Ms. Tessie-r Mackenzie, the Minutes of the December 18, 2009 Annual Meeting were approved as presented.

4. Director’s Compensation

Held till the November meeting

5. Election of Officers

Sue Tessier-Mackenzie questioned continuing on the Board. All agreed that she should remain on the Board.

On a MOTION by Mr. Rondeau and a SECOND by Mr. Mechanic the slate of officers: David Balfour as Chairman, Barry Mechanic as Vice Chair, Sue Tessier Mackenzie as Secretary and Jackie Boudreau as Treasurer were voted into office for a period of one year. All current members of the Board will also serve for a period of one year. David Balfour, serving as the nominating committee, recommended the Board approve new Board Members Carl Freedman of Pawtucket, Keith Fayan of Pawtucket and John Gregory of North Smithfield onto the Board of Directors. On a MOTION by Dave Richards and a Second by Barry Mechanic, the slate of new Board Members was approved as presented.

6. Adjournment

There being no further business before the Board of Directors, the Board adjourned at 1:15 p.m.
